9月28日消息，備受關注的國美電器特別股東大會今日在香港召開，本次大會將投票表決創始股東黃光裕家族提出的罷免陳曉國美董事會主席職務等8項議案。

騰訊財經在結果即將揭曉之前獨家對話和君咨詢合伙人孫曜。對于陳曉一方已向證監會舉報，黃光裕一方以利益誘使股東投票；同時香港證監急會黃燕虹，送傳票給黃光裕。孫曜表示，此事不會對最終結果產生實質性影響。陳曉此事的做法很不職業，違背了作為一名職業經理人的職責，他不該與身為大股東的黃光裕對立起來，而是應該積極維護全體股東的利益。

出現這種情況的原因，孫曜認為這是黃光裕作繭自縛的結果。在案發之前，黃光裕為董事會爭取了過大的權力，令股東大會失去了對董事會的制約。而如今陳曉只是在重復黃光裕當初的所作所為。所以所謂陳曉與黃光裕之爭，就是黃光裕與黃光裕之爭。

孫曜認為，國美之爭最終結果并不重要；重要的是公司召開股東大會，由全體股東投票決定罷免董事會主席等議案，令股民的權利得以行使，真正通過西方的法、理、情的順序來對待企業管理，這將給國內的公司在企業管理上面起到震動作用。

孫曜還對騰訊財經表示，企業管理應以法、理、情為先，而此次公眾對待國美事件卻普遍以情、理、法的順序。從企業角度而言，陳曉并沒有錯，他沒有違反三會（股東會、董事會、監事會）原則，但目前情況卻對股東很不利，還造成了公司管理層面的混亂，導致公司股價下跌，同時競爭對手蘇寧開始超越國美。陳曉也沒有很好地行使職權，也需要反思。
